Starting a small business in India is an exciting step, whether you want to open a shop, sell products online, start a service business, or build a startup. But before you begin, you need to understand which registrations apply to your business.
The small business registration process in India depends on your business structure, the products or services you sell, and your legal requirements. Some businesses begin as sole proprietorships, while others register as partnerships, Limited Liability Partnerships (LLPs), or private limited companies.
Here’s the full small business registration process in India for 2026, in the order you should do it.
The process at a glance
1. Pick a business structure
2. Get a PAN for the business
3. Register the entity (if your structure needs it)
4. Open a current account
5. Apply for Udyam Registration
6. Get GST registration (if you need it)
7. Add local licences for your trade
Let’s go through each one.
Step 1: Pick a business structure
This decides your paperwork, your tax setup and how much of your own money is at risk.
1. Sole proprietorship: One owner. No separate incorporation. It’s the cheapest and fastest option, but you’re personally liable for every debt.
2. Partnership firm: 2 or more people with a written partnership deed. Registering the firm with the Registrar of Firms is optional, but an unregistered firm faces limits when it tries to enforce contracts in court.
3. LLP (Limited Liability Partnership): Registered with the Ministry of Corporate Affairs (MCA). You need at least 2 partners, and each partner’s liability is limited to what they put in.
4. One Person Company (OPC): One owner, limited liability, and a nominee named in the paperwork.
5. Private limited company: At least 2 directors and 2 shareholders, and at least 1 director must be an Indian resident. It’s the best fit if you plan to raise investor money.
If you’re opening a small shop or starting freelance work, a sole proprietorship is usually enough. If you’re starting with a partner or want outside funding, go LLP or private limited.
Step 2: Get a PAN for the business
Sole proprietors use their personal PAN.
Partnership firms and LLPs need their own PAN. Companies get a PAN and TAN as part of incorporation.
Step 3: Register the entity
Sole proprietors can skip this step.
For a company or LLP, file the incorporation forms on the MCA portal (mca.gov.in). You’ll need a Digital Signature Certificate (DSC) for each director or partner, plus your address proof and ID documents.
Expect roughly 1 to 3 weeks if your documents are clean. Government fees and state stamp duty vary, so check the current fee schedule before you pay anyone.
Partnership firms sign a deed on stamp paper and can then apply to the Registrar of Firms in their state.
Step 4: Open a current account
Keep business money away from personal money from day one. It makes tax filing and loan applications much easier.
Most banks ask for your PAN, ID, address proof and business proof. For a sole proprietor, that proof is often a Udyam certificate or GST certificate, which is one more reason to do steps 5 and 6 early.
Step 5: Apply for Udyam Registration (MSME registration)
Udyam is the government’s official MSME registration. You get a permanent Udyam Registration Number and a digital certificate with a QR code.
It costs nothing. The process is paperless, so you don’t upload documents.
Who qualifies
Both tests below must be met: investment in plant and machinery or equipment, and annual turnover. The limits were revised from 1 April 2025 and apply the same way to manufacturing and service businesses.
| Business Category | Investment Limit | Annual Turnover Limit |
|---|---|---|
| Micro | Up to ₹2.5 crore | Up to ₹10 crore |
| Small | Up to ₹25 crore | Up to ₹100 crore |
| Medium | Up to ₹125 crore | Up to ₹500 crore |
That means nearly every small business in India qualifies. Traders (retail and wholesale) can register too, since July 2021.
How to Apply for Udyam Registration:
| Step | Registration Process | Details |
|---|---|---|
| 1 | Visit the Official Website | Go to udyamregistration.gov.in. |
| 2 | Select Registration | Choose new registration if your business is not already registered. |
| 3 | Aadhaar Verification | Enter the owner’s Aadhaar number and name, then verify using an OTP. For a company or LLP, follow the applicable authorised signatory requirements. |
| 4 | PAN and GSTIN Verification | Enter and verify your PAN and GSTIN, where applicable. |
| 5 | Enter Business Details | Provide your business name, address, bank details, activity type, employee count, investment and turnover. |
| 6 | Submit the Application | Submit the form to receive your Udyam Registration Number and access your registration certificate. |
It never expires and needs no renewal. You should update your investment and turnover details every year.
Is it worth it?
Udyam is optional by law for most businesses. I’d still do it, because it makes these things easier:
1. Bank loans, including lower collateral under certain government schemes
2. Government tenders and subsidies
3. Payment protection: under the MSMED Act, buyers are supposed to pay MSMEs within 45 days
Step 6: Get GST registration
You must register for GST when your yearly turnover crosses:
| Business Type | Annual Turnover Threshold for GST Registration |
|---|---|
| Goods only (in most states) | ₹40 lakh |
| Services or a combination of goods and services | ₹20 lakh |
Some states have lower limits. Telangana keeps ₹20 lakh for goods, and the north-eastern states of Manipur, Mizoram, Nagaland and Tripura use ₹10 lakh. Check your own state before you assume anything.
Some businesses need GST from the first rupee of sales. That includes anyone selling goods to other states and most sellers on platforms like Amazon or Flipkart.
You can also register voluntarily below the threshold. It lets you claim input tax credit and sell to bigger buyers who want a GSTIN on the invoice.
Registration is free on the official portal (gst.gov.in). From 1 November 2025, eligible low-risk applicants who verify with Aadhaar can get a GSTIN in 3 working days under the simplified scheme. The standard route takes around 7 working days, and longer if the officer raises a query.
If you’ve already got GST, get it before Udyam. The portal then fills in your details automatically.
Step 7: Add local licences
These depend on your state and your trade:
1. Shops and Establishment licence: for shops, offices and most commercial setups, from your state labour department or local body
2. Trade licence: from your municipal corporation or panchayat, in many cities
3. FSSAI licence: for anything food related
4. Import Export Code (IEC): if you plan to import or export
5. Professional tax registration: in states that charge it
Office rules differ by city, so call or visit your local municipal office before you open.
Documents required to register a business in India
1. Documents for a Sole Proprietorship
| Document | Purpose |
|---|---|
| PAN Card | Identity and tax-related verification |
| Aadhaar Card | Identity verification; mobile access may be needed for OTP-based services |
| Passport-Size Photograph | Required for certain registrations |
| Business Address Proof | Electricity bill, rent agreement or property tax receipt |
| No-Objection Certificate (NOC) | May be required if the business premises are rented |
| Bank Account Details | Cancelled cheque or passbook, where required |
2. Additional Documents for a Partnership, LLP or Company
| Document | Purpose |
|---|---|
| Entity PAN | Tax identification for the registered entity, where applicable |
| Partnership Deed / LLP Agreement | Defines the terms and responsibilities of partners |
| MOA and AOA | Incorporation documents for a company, where applicable |
| ID and Address Proof | Verification of partners or directors |
| Digital Signature Certificate (DSC) | Used for applicable online registration filings |
| Registered Office Address Proof | Confirms the entity’s registered office address |
Note: The exact documents required may vary depending on the business structure, registration type and applicable government requirements.
What does it cost?
1. Udyam Registration: free
2. GST registration: free on the government portal
3. Sole proprietorship: no incorporation fee
4. LLP, OPC or private limited: government fees plus state stamp duty, which depend on your state and capital
Any site charging a fee to “issue” your Udyam number is a middleman. You can do it yourself in about 15 minutes.
Common mistakes to avoid
1. Mixing up Udyam and GST. They’re separate registrations. Having one doesn’t give you the other.
2. Name mismatches. Your name on PAN, Aadhaar and your bank account should match exactly.
3. Picking the wrong activity code. Choose the one that actually describes what you sell or do.
4. Forgetting the yearly Udyam update.
5. Using a personal account for business money.
Rules, thresholds and fees change. Confirm on the official portal before you pay or file.

Frequently asked questions
Is Udyam Registration compulsory?
No, it’s optional for most businesses. But banks, government schemes and tenders often ask for it, so most small businesses get it.
How much does it cost to register a small business in India?
Udyam and GST are both free on the official portals. A sole proprietorship has no incorporation fee. For an LLP or company, you pay government fees and state stamp duty, which vary.
Do I need GST registration to start a small business?
Only if your turnover crosses the limit (₹40 lakh for goods, ₹20 lakh for services in most states) or if you sell across state lines or on e-commerce platforms. Otherwise it’s your choice.
Can I register a business from my home address?
Yes, in most cases. Keep a recent electricity bill or property tax receipt as address proof. If the house isn’t yours, get an NOC from the owner.
